Please read these Terms and Conditions ("Terms") carefully before accessing, registering for, subscribing to, or using Regzio, a compliance management and tracking platform owned and operated by Piplbyte Infotech Private Limited ("Piplbyte", "Company", "we", "us", or "our").
These Terms govern your access to and use of the Regzio website, web application, software platform, dashboards, features, tools, communications and related services (collectively, the "Platform" or "Regzio").
By accessing the Platform, creating an account, purchasing a subscription, clicking to accept these Terms, or otherwise using Regzio, you acknowledge that you have read, understood and agreed to be bound by these Terms and the policies referred to herein.
If you are accessing or using Regzio on behalf of a company, partnership, LLP, organisation or other legal entity, you represent that you have the authority to accept these Terms on behalf of such entity.
If you do not agree with these Terms, you should not access, subscribe to, or use the Platform.
1. DEFINITIONS
For the purposes of these Terms:
"Authorised User" means an individual authorised by a Subscriber to access and use Regzio through an individual User Account.
"Checker" means an Authorised User who has been assigned the role of reviewing, verifying, approving, rejecting or otherwise checking compliance tasks, information or documents submitted or updated through the Platform.
"Compliance Information" means compliance requirements, regulatory information, due dates, tasks, alerts, checklists, descriptions, documents, references or other compliance-related information made available through Regzio.
"Customer Data" means any information, data, documents, records, files or other materials submitted, uploaded, stored or otherwise made available on Regzio by or on behalf of a Subscriber or its Authorised Users.
"Maker" means an Authorised User assigned responsibility for creating, updating, performing, uploading information for, or marking progress against a compliance task through the Platform.
"Professional Services" means any compliance consulting, advisory, documentation, filing, review or other professional assistance separately requested by a Subscriber and accepted by Piplbyte.
"Subscriber" means the individual, company, organisation or other legal entity that purchases or otherwise obtains a subscription to Regzio.
"Subscription Plan" means the applicable monthly, quarterly, annual or other subscription plan selected by the Subscriber.
"User Account" means the individual login credentials and profile created for an Authorised User to access Regzio.
2. ABOUT REGZIO
Regzio is a technology-enabled platform designed to assist businesses in organising, tracking, monitoring and managing their compliance-related activities.
Depending upon the Subscription Plan and features made available, Regzio may provide functionalities including:
- compliance dashboards and trackers;
- compliance calendars and task management;
- state-wise or regulatory compliance tracking;
- Maker and Checker workflows;
- document uploading and storage;
- compliance alerts and reminders;
- reports and status tracking;
- user and role management; and
- other compliance management tools introduced from time to time.
The features, modules and functionality available to a Subscriber may vary depending upon the Subscription Plan selected.
Regzio is intended to facilitate compliance management. Unless expressly agreed under a separate Professional Services engagement, use of Regzio does not constitute an appointment of Piplbyte to perform, file, complete or discharge the Subscriber's legal, regulatory, tax or other compliance obligations.
3. ELIGIBILITY AND AUTHORITY
You may use Regzio only if you are legally competent to enter into a binding contract under applicable law.
Where an individual registers or subscribes on behalf of a business or organisation, such individual represents and warrants that they are duly authorised to:
- create and administer the Subscriber's account;
- provide information and documents on behalf of the Subscriber;
- add or authorise other users where permitted; and
- accept these Terms and applicable policies on behalf of the Subscriber.
Piplbyte may request reasonable information or documentation to verify identity, authority or account ownership.
4. ACCOUNT REGISTRATION
To access certain features of Regzio, a Subscriber must create an account and provide such information as may be required during registration.
The Subscriber is responsible for ensuring that all information provided to Regzio is accurate, complete and up to date.
Each Authorised User shall have a separate User Account and login credentials.
Login credentials are personal to the respective Authorised User and should not be shared with another individual.
The Subscriber is responsible for:
- determining who is authorised to access its Regzio account;
- assigning appropriate roles and permissions;
- promptly removing access when an individual is no longer authorised;
- maintaining the confidentiality and security of account credentials; and
- activities performed through its Authorised Users' accounts, subject to applicable law.
The Subscriber shall promptly notify Piplbyte if it becomes aware of any unauthorised access, suspected compromise or misuse of an account.
5. MAKER AND CHECKER WORKFLOW
Regzio may enable Subscribers to designate Authorised Users as Makers, Checkers, administrators or other roles made available through the Platform.
A Subscriber may have multiple Makers, multiple Checkers, a single Checker, or such other configuration as may be supported by the Platform or applicable Subscription Plan.
The Subscriber is solely responsible for selecting appropriate individuals, assigning roles and determining the authority granted to each Authorised User.
The availability of a Maker–Checker workflow is intended to facilitate internal review and control. It does not constitute verification, certification or approval by Piplbyte unless Piplbyte has expressly undertaken such responsibility through a separate written Professional Services engagement.
6. SUBSCRIPTION AND ACCESS RIGHTS
Subject to payment of applicable fees and compliance with these Terms, Piplbyte grants the Subscriber a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use Regzio during the active subscription period for the Subscriber's internal business and compliance management purposes.
Subscriptions may be offered on a monthly, quarterly, annual or such other basis as Piplbyte may make available from time to time.
Features, modules, storage limits, number of users, functionality and other benefits may vary according to the Subscription Plan selected.
The Subscriber does not acquire ownership of Regzio or any underlying software, technology or intellectual property by purchasing a subscription.
7. SUBSCRIPTION FEES, TAXES AND PAYMENTS
The Subscriber shall pay the fees applicable to the selected Subscription Plan.
Subscription prices may be displayed exclusive or inclusive of applicable taxes, as specified at the time of purchase. Applicable taxes, including GST, shall be charged in accordance with applicable law.
Payments may be processed through third-party payment gateways or payment service providers.
Piplbyte does not control the independent systems, availability or security practices of third-party payment service providers and shall not be responsible for failures attributable solely to such third-party services, subject to applicable law.
Piplbyte may revise its subscription fees or introduce new pricing plans from time to time. Any revised pricing applicable to an existing Subscriber shall ordinarily apply from the next renewal or subscription cycle unless otherwise communicated.
8. AUTO-RENEWAL
Where the Subscriber selects or enables an auto-renewal option, the applicable subscription may automatically renew at the end of the current subscription period using the payment method or mandate authorised by the Subscriber.
The Subscriber may disable auto-renewal in accordance with the functionality and timelines made available through Regzio or the relevant payment service provider.
Where an automatic payment fails, Piplbyte may notify the Subscriber and may suspend or restrict access if payment remains outstanding.
Further terms concerning subscription cancellation, renewal and refunds shall be governed by Regzio's Subscription, Cancellation and Refund Policy.
9. CUSTOMER DATA AND DOCUMENTS
The Subscriber and/or its respective lawful owners retain ownership of Customer Data uploaded or submitted through Regzio.
The Subscriber grants Piplbyte a limited right to host, store, process, transmit, display, back up and otherwise handle Customer Data solely to the extent reasonably necessary to:
- provide and operate Regzio;
- provide features requested by the Subscriber;
- maintain security and integrity of the Platform;
- provide technical support;
- comply with applicable legal obligations; and
- provide separately requested Professional Services where authorised by the Subscriber.
The Subscriber represents and warrants that it has the lawful authority to upload, store and process Customer Data through Regzio and to permit Piplbyte to process such data for the purposes contemplated under these Terms.
The Subscriber shall not upload any data, document or material that is unlawful, infringing, malicious or which it is not legally entitled to possess, use or process.
10. DOCUMENT STORAGE AND BACKUP
Regzio may allow Subscribers to upload and store compliance-related documents, records and other files.
While Piplbyte may implement reasonable technical and organisational measures for safeguarding information stored through the Platform, Regzio should not be treated as the Subscriber's sole or permanent repository for statutory, legal, financial or business records.
Subscribers are responsible for maintaining appropriate independent copies and backups of documents and information required for their business or regulatory purposes.
Piplbyte shall not be responsible for the Subscriber's failure to independently retain any document that the Subscriber is legally or commercially required to maintain, subject to applicable law.
11. AUTOMATED ALERTS AND REMINDERS
Regzio may provide automated compliance alerts, task notifications, due-date reminders, account communications and other notifications through email, SMS, WhatsApp, in-platform notifications or other communication channels.
The Subscriber acknowledges that delivery of such communications may depend upon factors outside Piplbyte's reasonable control, including:
- availability of telecommunications or internet services;
- third-party messaging providers;
- email service providers;
- spam filters;
- messaging platform restrictions;
- incorrect or outdated contact information; and
- technical interruptions.
Alerts and reminders are provided as a compliance management assistance feature. The absence, delay, failure or non-receipt of a reminder does not extend any statutory or regulatory deadline and does not relieve the Subscriber from responsibility for monitoring and completing its applicable compliance obligations.
The Subscriber remains responsible for maintaining accurate contact details and appropriate internal compliance controls.
12. COMPLIANCE INFORMATION AND REGULATORY UPDATES
Regzio may provide information relating to laws, regulations, regulatory requirements, compliance obligations, due dates and other matters relevant to business compliance.
Piplbyte endeavours to maintain useful and reasonably current information; however, laws, regulations, notifications, circulars, interpretations, governmental procedures and compliance requirements may be amended, replaced, withdrawn or interpreted differently from time to time.
Accordingly, Piplbyte does not warrant that every compliance requirement displayed through Regzio will at all times be complete, error-free, current or applicable to every Subscriber's individual circumstances.
The Subscriber is responsible for determining the legal and regulatory requirements applicable to its business and, where appropriate, obtaining advice from qualified professionals.
13. NO GUARANTEE OF COMPLIANCE
Regzio is a compliance management and tracking platform and does not, merely by virtue of a subscription, guarantee that a Subscriber is or will remain compliant with any law, regulation, licence, registration, filing requirement or governmental obligation.
A compliance item being displayed, marked as completed, reviewed by a Checker or otherwise reflected on the Platform does not constitute certification by Piplbyte or any governmental or regulatory authority.
The Subscriber remains responsible for:
- determining which laws and requirements apply to it;
- providing accurate and complete information;
- completing required actions within prescribed timelines;
- making necessary statutory filings and payments;
- obtaining licences, registrations or approvals; and
- obtaining professional advice where required.
14. ACCESS TO CUSTOMER DATA AND PROFESSIONAL ASSISTANCE
A subscription to Regzio does not automatically authorise Piplbyte's consulting, advisory or business teams to access Customer Data or documents uploaded by the Subscriber.
14.1 Operational and Customer Support Access
Designated members of Piplbyte's Customer Care, Operations, technical or other authorised support personnel may have limited access to Customer Data on a need-to-know basis where reasonably necessary for account administration, customer support, troubleshooting, security, Platform operations or providing operational assistance requested by the Subscriber.
Such access shall be restricted to authorised personnel and limited to information reasonably necessary for the relevant purpose.
14.2 Consulting Access Only With Explicit Authorisation
Where a Subscriber requests Piplbyte's opinion, advice, review or assistance regarding a particular compliance matter, regulatory situation, document or other issue, Piplbyte's consulting or business team shall access the relevant Customer Data only after obtaining the Subscriber's explicit written authorisation.
Such authorisation may be provided through Regzio, email, written communication or another verifiable electronic mechanism.
The authorisation shall apply only to the information and purpose for which access has been requested.
14.3 Proprietary and Confidential Information
Where the requested assistance requires access to specifically identified proprietary, commercially sensitive or confidential information of the Subscriber, specific authorisation shall be obtained for such access.
Where applicable, the authorisation may specify:
- the information or category of information to be accessed;
- the purpose of access;
- the authorised person, team or category of personnel; and
- the period for which access is permitted.
Access granted for a specified purpose or period may be withdrawn or disabled once that purpose has been completed or the authorised period has expired.
14.4 Subject-Matter Experts
Where specialised expertise is requested by the Subscriber, Piplbyte may engage or involve an appropriate subject-matter expert.
Customer Data shall not be shared with or made accessible to such subject-matter expert without the Subscriber's explicit authorisation.
Any subject-matter expert receiving Customer Data shall be subject to appropriate confidentiality, data-protection and restricted-use obligations and shall be permitted to use the information only for the authorised purpose.
14.5 Professional Services
Any consulting, compliance advisory, documentation, filing, review or other Professional Services requested by the Subscriber may additionally be governed by a separate proposal, engagement letter, scope of work or service agreement.
Granting access to Customer Data does not by itself expand the scope of Professional Services undertaken by Piplbyte or make Piplbyte responsible for the Subscriber's overall compliance obligations.
Where technically supported, Regzio may maintain logs or audit trails relating to access to Customer Data by authorised Piplbyte personnel.
Nothing in this Clause restricts access, preservation or disclosure where required under applicable law, pursuant to a lawful direction of a competent authority, or where reasonably necessary to protect the security and integrity of Regzio.
15. ACCEPTABLE USE
The Subscriber and Authorised Users shall use Regzio only for lawful business purposes.
Users shall not:
- attempt to gain unauthorised access to Regzio, another Subscriber's account, systems or networks;
- share individual login credentials with unauthorised persons;
- introduce viruses, malware, ransomware or other harmful code;
- interfere with or disrupt the operation or security of Regzio;
- use automated bots, crawlers, scrapers or similar technologies to access or extract information without written permission;
- circumvent security controls or access restrictions;
- upload unlawful, fraudulent, defamatory, infringing or malicious material;
- use Regzio to violate the rights of another person;
- copy, reproduce or commercially exploit Regzio except as expressly permitted;
- reverse engineer, decompile, disassemble or attempt to derive source code from the Platform, except where such restriction is prohibited by applicable law; or
- use Regzio for any fraudulent, unlawful or unauthorised purpose.
Piplbyte may investigate suspected misuse and take appropriate action in accordance with these Terms and applicable law.
16. INTELLECTUAL PROPERTY RIGHTS
Regzio, including its software, source and object code, technology, architecture, workflows, databases, interfaces, dashboards, designs, graphics, logos, trademarks, service marks, content, documentation, reports, templates and other proprietary materials, is owned by or licensed to Piplbyte and is protected under applicable intellectual property laws.
Regzio is a brand of Piplbyte Infotech Private Limited.
Except for the limited right to use the Platform during an active subscription, nothing in these Terms transfers any intellectual property right in Regzio to the Subscriber or any Authorised User.
The Subscriber shall not reproduce, modify, distribute, sell, sublicense, commercially exploit, reverse engineer or create derivative works from Regzio except as expressly permitted in writing by Piplbyte or under applicable law.
Customer Data remains subject to Section 9 of these Terms.
17. THIRD-PARTY SERVICES AND LINKS
Regzio may integrate with or rely upon third-party services including payment gateways, cloud infrastructure, email providers, SMS providers, WhatsApp or messaging services, analytics providers or other technology services.
The Platform may also contain links to third-party websites or resources for convenience or reference.
Piplbyte does not control such independent third-party services and does not guarantee their continuous availability, accuracy or performance.
Use of third-party services may additionally be subject to the terms and privacy practices of the respective third-party provider.
18. PLATFORM AVAILABILITY, MAINTENANCE AND MODIFICATIONS
Piplbyte will endeavour to maintain reasonable availability and functionality of Regzio but does not guarantee uninterrupted or error-free operation.
Access may occasionally be unavailable or restricted because of:
- scheduled or emergency maintenance;
- software updates;
- infrastructure failures;
- internet or telecommunications failures;
- third-party service interruptions;
- security incidents;
- events beyond Piplbyte's reasonable control; or
- other technical or operational requirements.
Piplbyte may add, modify, improve, replace or discontinue features of Regzio from time to time.
Where a material change substantially affects an active paid subscription, Piplbyte may provide reasonable notice where practicable.
19. SUSPENSION AND TERMINATION
Piplbyte may suspend or restrict access to Regzio where reasonably necessary, including where:
- subscription fees remain unpaid;
- the Subscriber or an Authorised User materially breaches these Terms;
- fraudulent or unlawful activity is suspected;
- continued access presents a security or technical risk;
- use of the Platform may violate applicable law or third-party rights; or
- suspension is required by a governmental, regulatory or judicial authority.
Where reasonably practicable, Piplbyte may provide notice and an opportunity to remedy a remediable breach before termination.
A Subscriber may discontinue or cancel its subscription in accordance with the applicable Subscription, Cancellation and Refund Policy.
20. EFFECT OF EXPIRY OR TERMINATION
Upon expiry or termination of a subscription, the Subscriber's right to use paid features of Regzio may cease or become restricted.
Piplbyte may provide a reasonable period, as specified in the applicable subscription or data retention policy, during which the Subscriber may retrieve or export eligible Customer Data.
After expiry of the applicable retention period, Customer Data may be deleted or anonymised in accordance with Piplbyte's data retention practices, subject to legal, regulatory, backup, dispute-resolution and legitimate record-keeping requirements.
Subscribers should export and independently retain information and documents required for their business before the applicable retrieval period expires.
21. PRIVACY AND DATA PROTECTION
Piplbyte will process personal data in accordance with its applicable Privacy Policy and data protection obligations.
Where Regzio processes personal data submitted by a Subscriber in connection with use of the Platform, additional data processing terms may apply.
The Subscriber is responsible for ensuring that personal data uploaded or otherwise provided through Regzio has been collected and disclosed to Piplbyte lawfully and that all necessary notices, permissions, consents or other lawful grounds required under applicable law have been addressed.
22. CONFIDENTIALITY
Each party may receive confidential or proprietary information belonging to the other in connection with use of Regzio or provision of Professional Services.
Each party shall take reasonable measures to protect such confidential information and shall not disclose it to third parties except:
- where required for providing or receiving the services;
- to authorised personnel, professional advisers or service providers who are subject to appropriate confidentiality obligations;
- with the other party's permission; or
- where disclosure is required by law or a competent authority.
Confidential information does not include information that is lawfully in the public domain, independently developed without use of the other party's confidential information, or lawfully received from a third party without confidentiality restrictions.
23. DISCLAIMER OF WARRANTIES
Regzio is provided on an "as available" basis, subject to applicable law.
Piplbyte does not warrant that:
- the Platform will operate uninterrupted or without errors;
- every compliance requirement relevant to a Subscriber will automatically be identified;
- all regulatory information will always be current or complete;
- use of Regzio will itself result in statutory or regulatory compliance; or
- third-party services integrated with Regzio will remain continuously available.
Nothing in Regzio should be construed as a substitute for professional legal, tax, accounting, secretarial or regulatory advice where such advice is required.
24. LIMITATION OF LIABILITY
To the maximum extent permitted under applicable law, Piplbyte shall not be liable for any indirect, incidental, special, exemplary or consequential loss or damage, including loss of profits, revenue, business opportunity, goodwill or anticipated savings, arising from or relating to use of or inability to use Regzio.
Piplbyte shall not be liable for penalties, interest, regulatory action or other consequences resulting from:
- inaccurate, incomplete or delayed information provided by the Subscriber;
- failure of the Subscriber or its Authorised Users to complete a compliance requirement;
- reliance solely upon automated reminders;
- changes in law or regulatory interpretation;
- acts or omissions of third-party service providers; or
- circumstances outside Piplbyte's reasonable control,
except to the extent such liability cannot lawfully be excluded.
Subject to applicable law and except in respect of liability that cannot lawfully be limited, Piplbyte's aggregate liability arising out of or relating to a Subscriber's use of Regzio shall not exceed the subscription fees actually paid by that Subscriber to Piplbyte for Regzio during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits any liability to the extent that such exclusion or limitation is prohibited by applicable law.
25. INDEMNITY
The Subscriber agrees, to the extent permitted by applicable law, to indemnify and hold harmless Piplbyte, its directors, officers, employees, authorised representatives and affiliates against claims, losses, liabilities, damages, costs and reasonable legal expenses arising out of or relating to:
- breach of these Terms by the Subscriber or its Authorised Users;
- unlawful or unauthorised use of Regzio;
- Customer Data uploaded without appropriate authority or legal basis;
- violation of applicable law by the Subscriber;
- infringement of third-party rights by Customer Data; or
- fraudulent, malicious or unlawful activities conducted through the Subscriber's account.
This provision shall survive termination where its nature requires it to do so.
26. FORCE MAJEURE
Piplbyte shall not be responsible for delay or failure in performance caused by circumstances beyond its reasonable control, including natural disasters, governmental actions, war, civil disturbance, epidemic or pandemic, power failures, telecommunications failures, internet outages, cyber incidents affecting third-party infrastructure, labour disruptions or failure of critical third-party service providers.
27. COMMUNICATIONS
By creating an account and using Regzio, the Subscriber acknowledges that Piplbyte may send transactional, administrative, security, compliance-related and service communications through registered email addresses, mobile numbers, SMS, WhatsApp, in-platform notifications or other available channels.
Marketing and promotional communications, where applicable, shall be managed in accordance with applicable law and the preferences or choices made available to users.
Subscribers are responsible for maintaining accurate communication details.
28. CHANGES TO THESE TERMS
Piplbyte may amend or update these Terms from time to time to reflect changes in the Platform, business practices, legal requirements or regulatory developments.
The updated Terms will be made available through Regzio and will indicate the date of the latest revision.
Where required or appropriate, Piplbyte may provide additional notice of material changes.
Continued use of Regzio following the effective date of revised Terms constitutes acceptance of the revised Terms, subject to applicable law.
29. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of India.
Subject to any mandatory rights or remedies available under applicable law, courts having competent jurisdiction at Delhi, India shall have jurisdiction over disputes arising out of or relating to these Terms or use of Regzio.
30. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect to the extent permitted by law.
31. NO WAIVER
Failure or delay by Piplbyte in exercising any right or remedy under these Terms shall not constitute a waiver of that right or remedy.
32. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Subscription, Cancellation and Refund Policy, Data Processing Agreement where applicable, and any other policies or terms expressly incorporated by reference, constitute the terms governing use of Regzio.
Where Piplbyte separately provides Professional Services, the applicable proposal, engagement letter, statement of work or service agreement shall additionally govern those services.
In case of a conflict between these Terms and a separately executed agreement relating to specific Professional Services, the separately executed agreement shall prevail in relation to those Professional Services to the extent of the conflict.
